IMPORTANT – READ CAREFULLY: BY DOWNLOADING, INSTALLING, OR USING THE TRADEFLOW SOFTWARE (THE "SOFTWARE"), YOU (THE "USER") AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. STRICT NO FINANCIAL ADVICE & NO FIDUCIARY DUTY

The Software and any accompanying documentation are provided for educational and automated execution purposes only. The Developer is not a registered financial advisor, broker, or dealer, and does not act as a fiduciary to the User. The Software operates on general algorithms and does not take into account your personal financial situation, objectives, or risk tolerance. Nothing provided by the Developer constitutes a solicitation, recommendation, endorsement, or offer to buy or sell any financial instruments. Past performance of the Software is not a guarantee or predictor of future results.

2. ASSUMPTION OF INVESTMENT RISKS & HOLD HARMLESS AGREEMENT

Trading Foreign Exchange (Forex), CFDs, and cryptocurrencies involves substantial risk. These instruments heavily utilize leverage, which amplifies both potential gains and potential losses. Total loss of the initial investment is possible. By using the Software, you alone assume full responsibility for evaluating the risks and benefits before making any trading decisions. In exchange for using the Software, you agree to hold harmless and indemnify the Developer from any and all claims for damages, financial losses, or failed Prop Firm challenges resulting from:

• Automated trade executions, including but not limited to the "Auto-Close", "Prop Firm Protection", and "PSAR Trailing" features.
• Technical failures, including VPS downtime, MetaTrader 5 crashes, network latency, or broker price manipulation.
• Third-party disruptions, including interruptions in the Software's connection to the remote license verification database (Supabase), which may cause the Software to temporarily halt operations.

3. "AS IS" SOFTWARE PROVISION AND LIMITATION OF LIABILITY

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL THE DEVELOPERS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

4. STRICT LICENSING AND CLOUD-BINDING

The User is granted a non-exclusive, non-transferable, and revocable license to use the Software under the following conditions:

• Single-Account Binding: Upon first successful activation, the provided license key is permanently locked to the specific trading account number and platform (MT5, NT8, or cTrader). Transferring the license to a different account is at the sole discretion of the Developer and may be subject to additional fees.
• Remote Verification: The Software actively communicates with a remote server (Supabase) to verify license validity, expiration date, and minimum version requirements. The Developer reserves the right to suspend or terminate the license immediately, without notice, if unauthorized use, sharing, or tampering is detected.
• Prohibited Actions: The User shall not reverse engineer, decompile, disassemble, crack, modify, or distribute the Software or its security mechanisms.

5. NO REFUND POLICY (DIGITAL GOODS)

Due to the nature of digital, downloadable software and the instant cloud-binding activation mechanism, ALL SALES ARE FINAL. By activating the license key, the User expressly waives any right to a refund or "cooling-off" period, to the maximum extent permitted by applicable law.

6. DATA PRIVACY AND TELEMETRY

To enforce licensing terms and version control, the Software transmits and stores non-identifiable technical data on secure cloud servers. This data includes the User's trading account number, platform type, and software version. No personal identity data, passwords, or financial balances are collected or transmitted by the Developer.

BY INSTALLING THIS SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
